David, a Partner, has a comprehensive background in litigation, bankruptcy, contract negotiation, corporate governance, energy, real estate and employment law. This experience provides a unique platform for David to assist clients in successfully navigating today’s complex legal landscape. David’s multi-disciplinary skill set allows him to quickly identify potential legal problems and design solutions that address these problems, thereby avoiding costly disputes in the future.
Litigation, Corporate and Business, Bankruptcy and Creditors' Rights, Energy and Healthcare Law:
- As general counsel to closely-held businesses and larger non-profit corporations, David’s responsibilities have included advising the Board of Directors and management regarding a wide variety of legal issues, including corporate governance, day-to-day management and operations, contractual negotiations, litigation, employment, and real estate matters.
- Representation of numerous public power utilities in connection with the termination, liquidation and settlement of forward contracts and similar energy agreements in the Enron, Mirant, National Energy & Gas Transmission and Calpine bankruptcies.
- Represent creditors (including landlords), in all stages of Chapter 7 and Chapter 11 bankruptcy proceedings.
- Defended large multi-national company in commercial arbitration involving a co-generation power plant and in commercial arbitration involving the purchase and installation of a retail store computer system in a chain of department stores.
- Briefed and argued case of first impression before United States Court of Appeals for the First Circuit, Swirsky v. National Association of Security Dealers, 124 F.3d 59 (1st Cir. 1997).
