  • Counsel to private and public companies, business owners, executives and investors in connection with early stage business planning, outside general counsel services, reorganizations, complex commercial debt and equity financings (including formation and structuring of special-purpose bankruptcy remote entities), mergers and acquisitions, licensing, strategic alliances, sale of business transactions and private placements
  • Advises a development stage company producing biofuels from clean energy crops in Latin America in connection with choice-of-entity issues, taxation, founder and executive equity compensation and venture capital financing     
  • Counsel to a mature Colorado-based private company engaged in making structurally subordinated mezzanine loans and/or preferred equity investments in sponsored tenant-in-common and Delaware statutory trust “DST” investment vehicles related to projects in California, Washington, Arizona, Missouri, Illinois, Connecticut, Nevada, Florida, Texas and other locations which are structured to qualify for 1031 like-kind exchange treatment and has closed 86 transactions totaling over $520 million in financing in connection with such representation
  • Advises a large regional real estate franchisee in connection with franchisee/franchisor relations, business acquisitions, employee/independent contractor relations, governance issues, licensing, business expansion and general contract negotiation and drafting
