Ron Stetler, a Partner at Rubin and Rudman, represents business owners with respect to corporate governance, contract negotiations and software licensing. Ron also advises clients on employment contracts, deferred compensation agreements and golden handcuffs for the retention of key employees to complement succession planning, cross purchase and stock redemption agreements, and reorganization and shareholder disputes.
Ron has extensive experience advising clients on entity formations, including S and C corporations, limited liability companies and partnerships. His representations include both U.S. and European corporations with respect to their U.S. operations.
On an ongoing basis, Ron represents closely held business owners and entrepreneurs with respect to mergers, acquisitions, industry roll-ups, private equity placements and complex commercial financing transactions.
In his estate planning practice, Ron advises high net worth clients on the creation of sophisticated strategies to minimize estate and gift tax liability such as qualified personal residence trusts, charitable remainder and lead trusts, family limited partnerships and limited liability companies, sales to intentionally defective grantor trusts, family limited partnerships and limited liability companies, and life insurance trusts. In connection with estate planning, he advises business owners on a range of succession planning strategies to effectively shift ownership to the next generation of owners while minimizing estate tax exposure.
