The Opportunity

When Access TCA — one of the largest independently owned exhibit and event marketing companies in North America — identified an opportunity to expand its capabilities and deepen its presence in another major U.S. trade show city, the company turned to Rubin Rudman for guidance on a strategic acquisition designed to enhance its regional and national footprint and strengthen its competitive position.

The Deal

Recently, Access TCA successfully acquired Top Shelf Exhibits, Inc., an Orlando-based exhibit design, fabrication, and rental company serving clients in defense, healthcare, consumer electronics, and other specialized markets.

The acquisition was a natural next step in Access TCA’s growth strategy.  Adding Top Shelf Exhibits to its portfolio — which already includes Access, Nuvista, and MSquared  — allows the company to broaden its service offerings, diversify into additional verticals, and expand fabrication capacity in Orlando to complement existing operations in Boston, Dallas and Las Vegas.

Our Role

The legal strategy centered on advancing Access TCA’s long-term goals: diversifying its vertical expertise, enhancing fabrication capabilities, and strengthening its presence in another major U.S. trade show city. Throughout the transaction, attorneys Michael Novaria and William McDiarmid provided comprehensive counsel, guiding the client through deal structuring, due diligence, negotiation, and closing, and attorney Matthew Joyce provided critical tax guidance. The team helped Access TCA navigate key commercial, regulatory, and operational issues, ensuring that the transaction advanced their long-term vision for serving “the marketer of the future.”
