David is a business and international transactions attorney with extensive experience advising US and foreign companies on complex domestic and cross-border matters.

He counsels clients at every stage of the business lifecycle—from formation and financing to strategic growth, mergers and acquisitions, and succession planning. His clients range from early-stage ventures to established public and private companies, including a significant number of businesses operating in or expanding into international markets.

David brings particular insight into European and Asian business environments, having structured and negotiated equity joint ventures and enforceable commercial contracts for US, Canadian, and European companies doing business in the People’s Republic of China, Vietnam, and other global jurisdictions. He also regularly advises clients in the entertainment industry on a broad range of legal and commercial issues.

Before entering private practice, David lived in the United Kingdom and worked for a senior Member of Parliament. He has taught courses in business law, public policy, and leadership at Providence College and frequently speaks and writes on issues related to international business law. He is a contributing writer for China Law Blog.

Represented a California-based manufacturer of indoor gardening systems and a Florida-based lighting systems company in connection with their parts and molding procurement from Chinese suppliers. Over the past three decades, David has provided similar cross-border commercial counsel to companies based in Canada, England, and throughout the United States.

Cross-Border M&A for Canadian and US Operations Sold to Chinese Buyer

Represented affiliated US and Canadian companies in the 2018 sale of their operations to a Chinese public company, advising on all aspects of the cross-border transaction.

Joint Venture for Global Tea Industry Leader in South American Expansion

From 2013 to 2016, advised the world’s largest herbal tea manufacturer, headquartered in Germany, on a multimillion-dollar joint venture with a Fortune 100 company to develop tea plantations and processing facilities in South America.

Pharmaceutical Acquisitions and Exit for UK Public Company

Represented a UK-based public pharmaceutical company in its acquisitions of US businesses in California and Pennsylvania, and later in its sale to a US private equity firm in 2018.

Ongoing Representation of Reggae Icon’s Estate in Entertainment Matters

Since 2008, has provided ongoing representation to the estate of one of Jamaica’s most celebrated reggae artists, including in connection with a biopic film deal with a major London-based production company.
