Tom is a seasoned business attorney who counsels companies, business owners, executives, and investors on a wide range of transactional, corporate, and tax matters.

Drawing on decades of experience, Tom is known for providing practical, solutions-oriented guidance across the business life cycle—from entity formation and capital structuring to complex reorganizations, mergers and acquisitions, and dissolutions. He routinely negotiates and drafts business-critical agreements, including stock and asset purchase agreements, LLC and partnership agreements, investment and financing documents, and executive compensation arrangements.

Tom also represents clients before the Internal Revenue Service and the Massachusetts Department of Revenue, advocating on their behalf in connection with tax controversies and settlement negotiations. He has particular experience resolving disputes related to business sales, executive compensation, and fiduciary matters.
