David M. Shamberger
David focuses his practice on complex corporate and transactional matters, including mergers and acquisitions, private equity and venture capital financings, securities law compliance, executive employment and compensation, and the structuring and implementation of equity ownership and incentives.
He brings a wealth of experience and strategic insight to clients navigating high-stakes transactions, guiding them through all phases of deal structuring, negotiation, and execution.
He advises public and private companies, private equity sponsors, family offices, strategic acquirers, and closely held businesses on a wide range of transactions—acquisitions, divestitures, joint ventures, recapitalizations, and restructurings. His work spans industries such as technology, life sciences, financial services, e-commerce and consumer products, media and entertainment, commercial real estate, and hospitality.
David regularly serves as outside counsel to start-ups and emerging growth companies, providing guidance on entity formation, founders’ equity, intellectual property protection and licensing, commercial contracts, and growth-stage capital raising. He represents both companies and investors in angel, seed, and institutional venture financings, offering practical advice on capital strategy and regulatory compliance.
A significant portion of David’s practice involves advising executive management teams in connection with change-of-control transactions, including the negotiation of employment agreements, separation and severance agreements, and the treatment of equity-based compensation.
