• Counseled employees of a national distributor in the negotiation and purchase of the stock of their employer corporation from a bankrupt owner, including the negotiation of the financing package necessary to accomplish that purchase.
• Counseled clients in negotiating and structuring settlements of disputes between stockholders of a number of corporations.
• Assisted the owners of a substantial distributor of sports equipment in the successful transition of management and ownership from the founder to the next generation.
• Consulted with financial consultants, accountants, and other attorneys in structuring multimillion-dollar corporate mergers, sales, acquisitions, and other transactions, particularly with regard to the tax implications of those transactions.
• Obtained a Private Letter Ruling from the Internal Revenue Service with regard to a tax-free Spin-Off of a public corporation.
