David Wittmann
Dave didn’t take the traditional path to becoming a corporate attorney—and that’s exactly why he’s become such a trusted advisor to the entrepreneurs and investors he serves.
He began his career in public accounting, working on M&A deals, and quickly discovered that the lawyers were doing dynamic, interesting, and impactful work. That realization set him on a new course—one that combines sharp transactional instincts with a deep understanding of how businesses grow, raise capital, and adapt to change.
Today, Dave works closely with a wide range of companies—from family-owned businesses in service industries to high-growth startups in fields like robotics, software, AI, and consumer brands. He helps business owners and founders navigate everything from entity formation and contract negotiation to complex financing strategies, offering practical advice on structuring investments, retaining key employees through equity incentives, and protecting long-term governance rights. He also advises venture capital firms and angel investors on deal terms, compliance, and fund operations across various structures, including equity, SAFEs, SAFTs, and convertible notes.
Dave’s insight is shaped not only by years in private practice but also by his time as General Counsel and Chief Compliance Officer at a multi-stage venture capital firm in New York. In that role, he was immersed in the realities of early and growth-stage investing, from reviewing offering materials and structuring funds to navigating investor communications and Advisers Act compliance. That experience gives him a unique ability to provide strategic, business-focused legal advice that supports momentum and growth.
Clients value Dave’s ability to simplify complex issues, predict potential problems, and provide creative solutions. Dave especially enjoys working on deals with non-standard terms or high stakes. Whether helping a trade business grow or guiding a tech startup through a seed round, Dave is recognized for being practical, clever, and approachable—a rare mix that turns legal support into a competitive edge.
