From mid-market growth to complex cross-border deals, our Finance team provides the legal strategy lenders and borrowers need to close transactions efficiently and stay competitive. Our team advises lenders and borrowers across a wide range of secured and unsecured credit facilities, from straightforward loans to complex, multi-party, cross-border transactions. We structure and negotiate commercial lending arrangements, asset-based loans, acquisition financings, real estate and construction loans, and debtor-in-possession (DIP) financings. We guide clients through workouts, restructurings, inter-creditor issues, and exit strategies—always with a focus on risk management and business continuity.

Lenders rely on us to document deals efficiently, manage exposure, and enforce credit rights when needed. Borrowers turn to us for practical guidance that protects their interests without delaying the transaction.

We represent banks, credit unions, finance companies, and private lenders, as well as operating companies, holding companies, real estate developers, private equity funds, and individuals. Many of our clients are navigating growth, acquisition, or restructuring. Others are looking for ongoing legal support as they expand into new markets or industries.

We regularly advise on a broad range of transactions, including commercial lending, asset-based lending, acquisition finance and leveraged buyouts (LBOs), construction and real estate finance, and cross-border lending. Our work also includes debtor-in-possession (DIP) and exit financing, loan restructuring and workouts, inter-creditor and subordination agreements, syndicated and unitranche credit facilities, letters of credit and credit enhancement, securities-backed lines of credit, and the negotiation and review of term sheets and covenant compliance.

We support clients across a wide range of industries, including aerospace, agriculture, apparel, defense, energy and renewables, financial services, gaming, healthcare, hospitality, life sciences, manufacturing, media and telecommunications, natural resources, private equity, professional services, public utilities, real estate, retail, and technology.

Several of our attorneys have served as in-house counsel at international commercial banks or managed portfolios at financial institutions. We work closely with our colleagues in Corporate, Business and Tax, Real Estate, and Bankruptcy and Creditors’ Rights to ensure each deal aligns with our clients’ legal and financial objectives.
